Welcome to BurtonSoftware.Ai. These Terms of Service ("Terms") govern your use of our AI-Powered Omnichannel Supply Chain ERP platform (the "Service") and our website. By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the BurtonSoftware.Ai platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use our platform.

2. Description of Service

BurtonSoftware.Ai provides a comprehensive cloud-based unified operations platform, including but not limited to warehouse execution, retail EDI, continuous accounting synchronization, and AI insights. The specific features available to you depend on the modules and integrations included in your subscription plan.

3. User Responsibilities & Account Security

You are responsible for maintaining the security of your account credentials. You agree to:

  • Provide accurate and up-to-date account and billing information.
  • Safeguard your passwords, API keys, and other access tokens.
  • Notify us immediately of any unauthorized use of your account.
  • Use the platform exclusively for lawful business purposes.

4. Data and Privacy

Your privacy is important to us. Our collection and use of your data, including supply chain metrics, customer orders, and internal financial records, are governed by our Privacy Policy. By using the Service, you consent to the processing of this data as described in the Privacy Policy.

5. Intellectual Property

All software, proprietary algorithms, interface designs, trademarks, and documentation provided by BurtonSoftware.Ai remain our exclusive property. The Service is licensed on a subscription basis, not sold, to you. You retain all rights and ownership to the business data you input into the Service.

6. Service Availability & Uptime

We aim to ensure high availability of our ERP platform. However, BurtonSoftware.Ai does not guarantee uninterrupted service. We will perform routine maintenance, which may result in temporary downtime. When feasible, we will notify administrators in advance of extended maintenance windows.

7. Subscription and Billing

Certain Services require a paid subscription. By subscribing, you agree that subscription fees are billed in advance on a recurring basis, and that fees may be charged monthly or annually depending on your selected plan.

  • Monthly subscription charges are non-refundable.
  • Annual subscription charges are refundable if a request is made within sixty (60) days of the payment date; after such period, they are non-refundable.
  • Failure to pay may result in suspension or termination of Services.

We may change pricing at any time with reasonable prior notice.

8. Limitation of Liability

To the maximum extent permitted by law, BurtonSoftware.Ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

9. Changes to the Terms

We may modify these Terms at any time. If we make material changes, we will notify you via email or through an in-app notification prior to the effective date. Your continued use of the platform after the changes take effect constitutes your agreement to the revised Terms.
