Welcome to Burton Software AI ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our warehouse management system (WMS), order management system (OMS), cloud software platform, APIs, websites, integrations, and related services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old and legally capable of entering into binding agreements to use the Services.
If you use the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
2. Services Provided
Burton Software AI provides cloud-based software solutions including but not limited to:
- Warehouse Management System (WMS)
- Order Management System (OMS)
- Inventory management tools
- Shipping and logistics integrations
- API access and automation tools
- Reporting and analytics
- Ecommerce and marketplace integrations
We reserve the right to modify, update, suspend, or discontinue any part of the Services at any time.
3. Account Registration
To access certain Services, you may be required to create an account.
You agree to:
- Provide accurate and complete information
- Maintain the security of your login credentials
- Be responsible for all activity under your account
- Notify us immediately of unauthorized access
We reserve the right to suspend or terminate accounts that contain false or misleading information.
4. Subscription and Billing
Certain Services require a paid subscription.
By subscribing, you agree that:
- Subscription fees are billed in advance on a recurring basis
- Fees may be charged monthly or annually depending on your selected plan
- Monthly subscription charges are non-refundable
- Annual subscription charges are refundable if a request is made within sixty (60) days of the payment date; after such period, they are non-refundable
- Failure to pay may result in suspension or termination of Services
We may change pricing at any time with reasonable prior notice.
5. Acceptable Use
You agree not to:
- Use the Services for unlawful purposes
- Interfere with platform security or operations
- Attempt unauthorized access to systems or data
- Reverse engineer, copy, or resell the software
- Upload malicious code or harmful content
- Use the platform to violate third-party rights
We reserve the right to suspend accounts that violate these Terms.
6. Customer Data
You retain ownership of your business data, inventory data, order data, customer records, and other information uploaded to the Services ("Customer Data").
You grant Burton Software AI a limited license to process and store Customer Data solely for providing the Services.
You are responsible for:
- Accuracy of uploaded data
- Obtaining necessary permissions from your customers
- Compliance with applicable privacy laws and regulations
7. Data Security
We implement commercially reasonable security measures designed to protect Customer Data.
However, no internet transmission or storage system can be guaranteed to be 100% secure. You acknowledge and accept these risks.
8. Third-Party Integrations
The Services may integrate with third-party platforms including ecommerce marketplaces, carriers, payment processors, and ERP systems.
Burton Software AI is not responsible for:
- Third-party outages
- API changes
- Data inaccuracies from third parties
- Service interruptions caused by external providers
Use of third-party services is subject to their own terms and policies.
9. Intellectual Property
All software, technology, trademarks, branding, documentation, and content provided by Burton Software AI remain our exclusive property.
You may not:
- Copy or distribute the software
- Modify source code
- Create derivative works
- Remove proprietary notices
Except for the limited rights expressly granted, no ownership rights are transferred to you.
10. Service Availability
We strive to maintain reliable uptime but do not guarantee uninterrupted or error-free operation.
Maintenance, updates, outages, and circumstances beyond our control may temporarily affect availability.
11. Limitation of Liability
To the maximum extent permitted by law, Burton Software AI shall not be liable for:
- Lost profits
- Lost revenue
- Business interruption
- Data loss
- Indirect, incidental, or consequential damages
Our total liability under these Terms shall not exceed the amount paid by you for the Services during the twelve (12) months preceding the claim.
12. Disclaimer of Warranties
The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.
We disclaim all warranties including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Continuous availability
- Accuracy of third-party integrations
13. Termination
Either party may terminate the subscription at any time subject to any applicable contract terms.
Upon termination:
- Access to the Services may be revoked
- Customer Data may be deleted after a reasonable retention period
- Outstanding fees remain payable
14. Confidentiality
Both parties agree to protect confidential business information disclosed during the relationship and not disclose it to unauthorized third parties.
15. Governing Law
These Terms shall be governed by and construed under the laws of the State of California, without regard to conflict of law principles.
Any disputes shall be resolved in the courts located in California.
16. Changes to Terms
We may update these Terms from time to time.
Continued use of the Services after updates become effective constitutes acceptance of the revised Terms.
